Terms of Service

These terms govern your use of Cleared, a WhatsApp-based invoicing tool operated by Cleared Technologies Ltd ("Cleared", "we", "us"). By creating an account or using Cleared, you agree to these terms. If you do not agree, please do not use the service.

1. What Cleared is

Cleared lets you describe a job over WhatsApp and automatically turns it into a professional invoice or quote, which is emailed to your client with a payment link. Cleared is a tool to help you create and send invoices and quotes — it does not provide accounting, tax, or legal advice, and using it does not make us your accountant, bookkeeper or agent for any purpose beyond sending the documents you ask us to send.

Cleared is not a bank, e-money institution, or payment service provider. Card payments are processed entirely by Stripe, a third-party payment processor, under their own terms. We do not hold or have access to your clients' card details, and funds paid by your clients are handled by Stripe, not by Cleared.

2. Who can use Cleared

Cleared is intended for use by self-employed individuals and sole traders operating in the United Kingdom, for business purposes. You must be at least 18 years old and legally able to enter into a contract to use Cleared. You are responsible for keeping your WhatsApp number and account secure, and for all activity that happens through your account.

3. Your responsibility for what you send

Every invoice and quote is shown to you for review before it is sent, and nothing goes to your client until you confirm it. You are solely responsible for the accuracy of the information you provide, including client details, job descriptions, and amounts. Cleared parses your messages using AI, which can make mistakes — always check the preview before confirming. We are not liable for losses arising from incorrect information you confirmed and sent.

You agree not to use Cleared to send invoices or quotes that are fraudulent, misleading, for unlawful goods or services, or that misrepresent who you are or what work was done.

4. Free and paid plans

Cleared offers a free plan, currently limited to five invoices per calendar month, and a paid plan with a higher or unlimited allowance, billed at the price shown on our website at the time you subscribe. We may change these limits or prices, but we will give you reasonable notice before any change affects your current billing period. Quotes do not count toward your invoice limit on either plan.

Paid subscriptions are billed in advance on a recurring basis and processed by Stripe. You can cancel at any time; see our Cancellations & Refunds policy for details on what happens to your access and billing when you do.

5. Acceptable use

You agree not to:

  • Use Cleared to send spam, harassment, or unsolicited messages to people who are not your genuine clients
  • Attempt to circumvent the free-tier limits, for example by creating multiple accounts
  • Use Cleared to process payments for illegal goods or services
  • Interfere with, reverse-engineer, or attempt to disrupt the service
  • Use Cleared in a way that breaches WhatsApp's or Stripe's own terms of service

We may suspend or terminate accounts that breach this section, with notice where reasonably possible.

6. Cancelling and voiding invoices

You can cancel an invoice or quote you have sent through Cleared at any time before it has been paid. Cancelling switches off the associated payment link so it can no longer be paid, and is a record on your account that the invoice was voided — it does not retract the email already sent to your client, and you remain responsible for communicating the cancellation to your client if needed. Once an invoice has been marked as paid, it cannot be cancelled through Cleared; any refund must be arranged directly between you and your client, and processed through Stripe.

7. Service availability

We aim to keep Cleared available and reliable, but we do not guarantee uninterrupted access. The service depends on third-party providers for functions including AI processing, messaging delivery, email, payment processing, database hosting and application infrastructure, and an outage at any of these providers may affect Cleared. We are not liable for losses caused by downtime or by a failure of a third-party provider we rely on to deliver the service.

8. Intellectual property

Cleared, including its branding, software and the design of our website, belongs to Cleared Technologies Ltd. You retain ownership of the content of your invoices and quotes (your business details, job descriptions and client information) and grant us a licence to process it solely to provide the service to you.

9. Limitation of liability

To the fullest extent permitted by law, Cleared's total liability to you for any claim arising from your use of the service is limited to the amount you paid us in the three months before the claim arose. We are not liable for indirect or consequential losses, including loss of profits, loss of business, or loss of data, except where such liability cannot be excluded under UK law (for example, liability for death or personal injury caused by our negligence, or for fraud).

Nothing in these terms limits or excludes any liability that cannot lawfully be limited or excluded under UK consumer or general law.

10. Ending your account

You can stop using Cleared and close your account at any time by contacting us at contact@cleared.ltd. We may suspend or close your account if you breach these terms, if required by law, or if we reasonably believe your account is being used fraudulently. Where possible, we will give you notice and a chance to resolve any issue first.

11. Changes to these terms

We may update these terms from time to time, for example to reflect a new feature or a change in the law. We will update the date at the top of this page when we do, and where a change is significant, we will let you know via WhatsApp or email before it takes effect. Continuing to use Cleared after a change takes effect means you accept the updated terms.

12. Governing law

These terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
